Terms and Conditions

ARTICLE 1 – ELIGIBILITY

1.01 Introduction

(1) This document sets out the terms and conditions that govern the use of the gaming website and related apps operated by NorthStar Gaming (Ontario) Inc. (“NSG” or “we”. “us ” or “our”) (collectively, the “Site”). By checking the “accept“ box, you confirm that you understand and agree to be bound by these terms and conditions (the “Terms”). If you do not agree with any of the Terms, you (i) are not permitted to open an account on the Site (a “Player Account”), and (ii) if you already have a Player Account, you are not permitted to log into your Player Account and play any Games. In these Terms, the word “Visitor” means an individual who visits the Site while “ Player” means a Visitor who has opened an account on the Site.

(2) We reserve the right to revise these Terms from time to time at our sole discretion. We will post a notice on the home page of the Site advising Visitors whenever this Agreement has been revised. By continuing to use the Site after such a notice is posted, you will be deemed to have accepted the revised Terms.

(3) These Terms, in combination with our Privacy Policy and our Responsible Gaming Policy (both of which are available separately on the Site), constitute our agreement with you regarding your use of the Site (the “ Agreement”).

1.02 Eligibility and Location

(1) You are eligible to open a Player Account and play Games on the Site if you meet all of the following criteria:

(a) You are at least 19 years of age;

(b) You are not an Excluded Individual;

(c) You are acting on your own behalf and not on behalf of any other person, whether as an agent or otherwise; and

(d) You have submitted true, complete and accurate information when opening and managing your account on the Site or in response to inquiries by us or our agents.

(2) For the purposes of these Terms, “Excluded Individual” means:

(a) an individual who has been excluded by court order or any applicable law or regulation or any rule or policy;

(b) an individual who has registered for self-exclusion for the duration of the period of self-exclusion (see our Responsible Gambling and Self Exclusion Policy for further information);

(c) an individual who is an employee of NSG or who, by contract or another arrangement with NSG, is prohibited from registering an account;

(d) a Player who has been suspended by NSG from access to a Player Account for responsible gambling reasons.

(3) You agree to open and use only one Player Account. The registration or attempted registration of more than one Player Account will constitute a material breach of this Agreement.

(4) You agree that you will only play Games while physically in Ontario using a device that is physically in Ontario.

1.03 Player Account Information

(1) You agree that any information you submit to us for the purpose of opening and using an Account and playing on the Site is and will remain true, accurate and complete. If any such information changes, you agree to advise us of that fact and to close your account and/or cease using the Site if you are no longer eligible to do so.

(2) If we discover that any of the registration information associated with a Player Account is not true or is no longer accurate or complete, we may take all steps that we in our sole discretion deem to be appropriate include but not limited to suspending, or deactivating the Player Account, investigating any security issues and, in the case of suspected or actual identity theft or fraud, disclosing all relevant information to its Service Providers, the appropriate law enforcement authorities and other third parties that NSG determines to be appropriate.

1.04 Required Documentation

(1) We may, in our sole discretion, require you to provide additional information or documentation prior to opening your Player Account or at any time thereafter. If you refuse to or fail to provide the required information or documents, we have the right to close your Account and bar you from further use of the Site.

(2) We may disclose your registration information to Service Providers at any time for the purpose of (i) authenticating that information, (ii) confirming your eligibility to open and maintain an Account and to play on the Site, (iii) investigating any suspected breaches of this Agreement, and (v) exercising any of our other rights under this Agreement.

(3) By providing any information or documentation to us, you hereby consent to the use and disclosure of such information by us to third parties for any and all of the purposes contemplated in these Terms or as may be required by law. All such information may be stored on servers located outside the province of Ontario or Canada.

(4) You hereby agree that any such information you provide will be true and accurate and that any documentation you provide will belong to you and will be a true, accurate and complete copy of the original.

1.05 Password Security

(1) When registering for a Player Account, you will be required to create a username and password. Following the opening of your Player Account, you are solely responsible for maintaining the security and secrecy of your username and password, including related security or verification questions and answers. You agree that you will not disclose your username and password to any other person. All transactions made using your username and password will be deemed to have been made by you, and you will be solely responsible for all such transactions.

(2) If you disclose your username and/or password to anyone else, or you have been hacked and the information has entered the public domain, you agree to immediately change your password and notify Customer Support regarding the compromise or possible compromise of the original username and password.

ARTICLE 2 – PLAYER ACCOUNTS

2.01 Accessing Player Account

You can access your Player Account at any time on the Site. If you discover any inaccuracy or error in the information that is show in your Player Account, you should contact Customer Support immediately. A Player Account is not your property and cannot be assigned or transferred to, or shared with, any other person for any purpose.
 

2.02 Depositing Funds into the Player Account

(1) In order to play Games on the Site, a Player is required to have a positive balance in their Player Account. If a Player Account does not have sufficient funds (“Funds”) for a Game at the time that the bet, wager, or purchase is to be made, then the bet, wager or purchase will not be made and the Player’s entry into the Game will be rejected. A Player is solely responsible for ensuring that their Player Account contains sufficient Funds for a Game.

(2) In addition, subject to certain exceptions, any monetary prizes from Games that are played through the Site will be loaded to the Player Account by means of a credit to the balance of such Player Account. The withdrawal of funds representing such prizes from a Player Account will be subject to the terms and conditions of this Agreement. Instructions for claiming non-monetary prizes will be provided to Players by NSG from time to time.
 

2.03 Methods for Depositing Funds

(1) NSG will hold Players’ Funds in a bank account as trustee for the Player (not as banker or debtor). For the avoidance of doubt, a Player Account is not a bank account and, therefore, is not insured, guaranteed, sponsored, or otherwise protected by any deposit or banking insurance system. Funds deposited with NSG for purposes of funding the balance of a Player Account, and monetary prizes that are credited to a Player Account, will not accrue interest for the benefit of the Player, and the Player shall not be entitled to claim any interest from NSG in respect of any such Funds.

(2) In the event that any amount becomes owing to NSG by the Player under or in accordance with the terms of this Agreement, NSG shall have the right to deduct such amounts from the Player’s Funds and to adjust the balance of Funds in the Player Account accordingly without the requirement for any advance or further notice to be provided to the Player by NSG.
 

2.04 Deposit Limits

NSG (in its sole discretion) may restrict a Player’s ability to deposit Funds in their Player Account. For example, NSG may:

1. establish minimum and maximum amounts of Funds that may be deposited by a Player with NSG for the purpose of funding the balance of a Player Account, on a transaction-by-transaction basis or during one or more time periods.

2. limit the number of different credit cards that a Player can use to fund a Player Account. In addition, a particular credit card may not be registered with more than one Player Account;

3. restrict a Player’s ability to change deposit methods during specified periods of time;

4. restrict a Player’s ability to change certain credit card information or otherwise impose conditions prior to changing credit card information (for example, requiring that the Player contact Customer Support); or

5. change acceptable methods of payment.

2.05 Chargebacks

(1) A chargeback occurs when a credit or debit cardholder contacts the bank or other financial institution that issued the card to initiate a refund for a payment transaction that was made using the card or the account associated with the card, and the bank or financial institution requests that NSG return the relevant Funds.

(2) If a Player deposit Funds in their Player Account and thereafter a chargeback occurs in respect of all or part of the deposit transaction, NSG may take any or all of the following actions as it, in its sole discretion, determines to be appropriate:

(a) suspend the Player Account pending resolution of any dispute relating to the chargeback;

(b) request that the Player contact Customer Support to explain the circumstances of the chargeback;

(c) debit the Funds in the Player Account with the amount of the chargeback. If that debit results in a negative balance of Funds in the Player Account, the amount of the negative balance will constitute a debt owed by the Player to NSG, and NSG reserves the right to recover such amount from the Player;

(d) deactivate the Player Account and exclude the Player from playing Games on the Site (i.e., deem the individual to thereafter be an Excluded Individual); or

(e) initiate a dispute resolution process with the relevant bank or financial institution, which may include NSG providing evidence relating to the deposit transaction and/or chargeback to a payment processing service provider and/or a bank or financial institution.

2.06 Methods for Withdrawing Funds

Subject to certain exceptions, withdrawals of Funds from a Player Account will be processed by returning the funds to the last method of payment used by the Player to deposit Funds. NSG may require additional documentation if the Player requests that the Funds being withdrawn are to be deposited to another account. In all circumstances, the Player may only request that Funds be deposited on a withdrawal to an account in the name of the Player and not for the benefit of any third party.
 

2.07 Withdrawal Limits and Limitations

(1) Subject to the terms and conditions of this Agreement, you may withdraw funds from your Player Account up to the then-current balance of funds, provided that you have satisfied any criteria for the use of notional amounts corresponding to Canadian dollars loaded into your Player Account (“Bonus Funds”).

(2) You will not be entitled to withdraw funds from your Player Account if it is suspended unless NSG, in its sole discretion, determines that the withdrawal (in whole or in part) will be permitted. If your Player Account is suspended and you want to make a withdrawal, please contact Customer Support. We may from time to time specify minimum and maximum withdrawal amounts as well as limiting the number if withdrawals applicable to Player Accounts. If you wish to withdraw less than the specified minimum amount, please contact Customer Support.
 

2.08 Withdrawal Cancellations

NSG may, in its discretion, refuse a withdrawal request if NSG suspects such withdrawal is made in breach of this Agreement (whether or not such violation is a material breach). NSG will make reasonable efforts to promptly notify the Player of such refusal via the Player contact information associated with the Player Account. A Player may cancel their withdrawal request through their Player Account. Provided such cancellation has not been processed by NSG, the relevant funds will be returned to the Player Account.
 

2.09 Inactive Accounts

(1) A Player Account will become an Inactive Account if there has not been a successful Player-initiated transaction for a period of 12-consecutive months, unless the Player Account is for a Self-Excluded Individual or NSG has determined, in its sole discretion, to suspend the Player from access to the Player Account for responsible gambling purposes. The following transactions qualify as a Player-initiated transaction (i) a deposit of funds by the Player for the purpose of funding the Player Account, (ii) a withdrawal of Funds from the Player Account, or (iii) a bet, wager or purchase of a chance to win that has not expired or been suspended due to insufficiency of Funds or for any other reason. For the avoidance of doubt, a play-for-free Game is not considered a Player-initiated transaction.

(2) A Player Account that has become an inactive account will cease to be an inactive account following the successful completion of a Player-initiated transaction.
 

2.10 Dormant Accounts

An inactive account will become a dormant account if the Player does not successfully complete a Player-initiated transaction within the 24-month period immediately following the date on which the Player Account becomes an inactive account (i.e., the Player has not successfully completed a Player-initiated transaction for 36 consecutive months). When a Player Account becomes a dormant account, the Player Account will be initially suspended by NSG and subsequently deactivated. Once the Player Account is a dormant account the Player will not be able to log into or use the Player Account. Subject to any minimum withdrawal requirements and any documentation requirements, NSG will deposit an amount equal to the Funds as at such date using the method of payment that was last used by the Player. In the event that NSG is not able to successfully deposit the Funds, NSG will use its reasonable efforts to contact the Player using the Player contact information to advise as to the status of the Player Account and the balance of Funds. If NSG is unable to contact the Player, the Player Account will be deactivated. If NSG is unable to contact the player within 24 months of the Player Account becoming a dormant account, Funds may be forfeited to NSG.
 

2.11 Reactivation of a Dormant Player Account

NSG will retain information relating to a dormant account in accordance with its record retention policies. If a Player Account has become a dormant account and is locked, the Player may thereafter contact Customer Support to request the reactivation of the Player Account. If a dormant account is reactivated, it will have the same account details as those which existed as of the date the Player Account became a dormant account. In the event that any of the relevant information has changed (for example, the Player contact information), the Player will be solely responsible for updating such information and complying with the terms and conditions of this Agreement which are then in effect.
 

2.12 Closure of a Player Account by the Player

A Player may close their Player Account at any time by contacting Customer Support. All future game transactions associated with the closed Player Account that have not been completed by the time of closure will be cancelled. Subject to the minimum withdrawal requirements and any documentation requirements, NSG will return an amount equal to the Funds in the Player Account to the Player using the method of payment that was last used by the Player. If NSG is unable to return the Funds to the Player or contact the Player for instructions on an alternative method of refund, the Funds may be forfeited to NSG.
 

2.13 Suspension of a Player Account

NSG shall have the right to suspend a Player Account at any time in its sole discretion. While a Player Account is suspended:

1. a Player will be unable to login or access their Player Account;

2. a Player will be unable to withdraw any Funds unless NSG, in its sole discretion, determines otherwise;

3. all future game transactions associated with the suspended Player Account will be suspended and/or cancelled; and

4. a Player may be required to cooperate with any investigations conducted by NSG into the Player’s conduct prior to the suspension being lifted (including provisions of additional documentation or information as requested by NSG). Failure to cooperate shall be deemed a material breach of this Agreement.

If, during the suspension, NSG determines that the Player has committed a material breach of this Agreement, it may deactivate the Player Account.
 

2.14 Deactivation of a Player’s Account

(1) NSG shall have the right to deactivate a Player Account at any time in its sole discretion. If NSG deactivates a Player Account, NSG will return the Funds left in the Player Account to the Player using the method of payment that was last used by the Player. In the event that NSG is not able to successfully return the Funds, NSG will use its reasonable efforts to contact the Player and seek instructions. If NSG is unable to contact the Player, then NSG may (i) retain the Funds until NSG receives proper instructions relating to the disposition of such funds from the Player or their legal representative, or (ii) forfeit the funds to NSG.

(2) Notwithstanding the foregoing, if NSG deactivates a Player Account as a result of the occurrence of a material breach by the Player under this Agreement, NSG (in its sole discretion) shall be entitled to treat any or all of the Funds as forfeited by the Player, in which case the Player will not be entitled to have the Funds returned.

2.15 Effects of Player Account Deactivation or Closure

When a Player Account is a closed account or a deactivated account, amongst other things:
 

(1) Any scheduled wagers, bets or purchases, including for future game transactions, which have not been completed prior to the closure or deactivation will be cancelled;

(2) the Player will not be entitled to receive any offers for new Bonus Funds, and any existing Bonus Funds associated with the Player Account will be cancelled and (for additional clarity) the Player will not be entitled to receive any compensation in respect of the cancelled Bonus Funds; and

(3) this Agreement will terminate, except for those provisions which by their nature are intended to survive the termination of this Agreement.

ARTICLE 3 – INTELLECTUAL PROPERTY RIGHTS

3.01 Owner of Intellectual Property

NSG is the owner or licensee of all of the copyright, trademarks and other intellectual property rights in, to and in respect of the Site including the content of the foregoing, the Games and any written communications that are sent to individuals by or on behalf of NSG.
 

3.02 Limited Access for Entertainment Purposes by Eligible Individuals

We hereby grant you the right to use the Site including playing Games on the Site but that right is subject to your complying with all of these Terms. You hereby agree that:

(1) you are eligible to use the Site;

(2) the Site and its components are the sole and exclusive intellectual property of the NSG or one of its Service Providers;

(3) you may only use the Site for authorized purposes;

(4) you use the Site and the component systems at your own risk;

(5) no transactions will be made prior to our completing all verifications and other (including compliance and legal) checks;

(6) you will not be entitled to any winnings or payments made to you by us in error.

13.2 Supply and Maintenance of Player Equipment and Services

Players are solely responsible for supplying and maintaining all equipment, technology and services that they require to access and use the Site. The performance or operation of the Site may be affected by a Player’s computer equipment, mobile device, Internet connection or other factors that are outside of our control. We make no representation or warranty of any kind regarding the compatibility, functionality, performance or operation of the Site or any component thereof on any individual’s Player’s computer or other devices used to access the Site. Players may require additional third-party services to access the Site (e.g., internet service provider agreement; mobile carrier agreement; email account; text messaging service (SMS)).

13.3 Third-Party Content

We provide you with third-party content that permits you to play games and place bets on our Site. In order to access or use some of that content, it may be necessary for you to download software licensed by third parties. In order to download that software, you must agree to additional terms and conditions governing the use of that content. It is the sole responsibility of the Player to determine whether they accept and agree to any such third-party terms and conditions, and if the Player does not accept and agree to them, such third-party product should not be used.

ARTICLE 4 – PROHIBITED ACTIONS

4.01 Viruses, Hacking and Other Offences

The use of the Site other than in accordance with the Terms is strictly prohibited. You shall not:

1. knowingly or negligently introduce, or permit the introduction of, any malware, including any virus, trojan horse, worm, logic bomb or other material that is or would reasonably be expected to be malicious or technologically harmful to the Site or any component of the Site;

2. access or attempt to gain access to any part of the Site that you are not entitled to access or attempt to bypass any security mechanisms included on the Site;

3. use any software program which, in our sole determination, is endowed with artificial intelligence (i.e., robots) in connection with the Player’s participation in a Game;

4. attack, whether alone or in combination with others, the Site by means of a denial-of-service attack or a distributed denial-of-service attack;

5. copy, disclose (including, for example, by posting on any social media, blog, message board or other public forum), transmit or otherwise make available, or remove or alter, any of the content or material that is made available on or through the Site;

6. through chat or otherwise, display, provide or transmit any content that is deemed by us to be inappropriate (including but not limited to hateful, discriminatory, sexist, violent, offensive, or other inappropriate content) or threaten, bully or otherwise harass any other Visitor;

7. use, copy, modify, create derivative works from or distribute the software, any part of it, or any copy, adaptation, transcription, or merged portion of it,

8. decode, reverse engineer, dissemble, decompile or otherwise translate or convert the software or documentation or any part of it,

9. transfer, loan, lease, assign, rent, or otherwise sublicense the software or documentation (or any copies of it),

10. remove any copyright, proprietary or similar notices from the software or documentation (or any copies of it),

11. operate the software or any part of it for the benefit of or on behalf of any third party, including by way of application service provider services, internet service providers, timesharing arrangements, outsourcing services or bureau services,

12. preclude or inhibit NSG or any of its Service Providers from exercising full control over the software or documentation, or

13. grant any encumbrance or security interest over the software.

4.02 Cheating, Objectionable Behaviour

Any and all forms of collusion, cheating, fraud, and criminal activity are strictly prohibited. The following are examples of activities that are prohibited:

1. unauthorized use of a credit card as a source of funds to be deposited to the credit of a Player Account;

2. money laundering;

3. use of any software that could provide a Player with an unfair advantage (including, by way of example only, “bots”, artificial intelligence, machine learning software, malicious code, opponent profiling software, automatic betting software, viruses, worms, or malware);

4. exploitation of a fault, loophole or error in any software that is used in connection with the operation of the Site (including any Game) or the exploitation of any Error; and

5. in the case of sports wagering, collusion includes any of the following:

(a) having access to non-public/exclusive information related to an Event, or having the potential to impact the outcome of an Event or bet type, in respect of any Event overseen by the relevant Event governing body;

(b) having sufficient authority to influence the outcome of an Event (including, without limitation, athletes, coaches, managers and owners), in respect of any Event overseen by the relevant Event governing body;

(c) being an owner of an Event governing body or an Event member team, in respect of any Event overseen by that governing body or any Event in which a member team of that governing body participates; or

(d) compiling betting odds for any Event in which one is involved.

We will use reasonable efforts to detect and prevent any such collusion, cheating, fraud, or criminal activity by Players or the taking of any unfair advantage by Players, but in the event that any such activity occurs and another Player incurs any loss or damage, we will not be liable for any such loss or damage.

We have the right to notify all third parties which we, in our sole discretion, determine to be appropriate in the event of any actual or suspected collusion, cheating, fraud or criminal activity by any Player or the taking of any unfair advantage by any Player, including the appropriate law enforcement authorities and other third parties that we determine to be appropriate.

ARTICLE 5 – NSG ERRORS

(1) A number of circumstances may arise where a Game-related bet, wager or purchase is accepted by NSG, or where NSG awards a prize, credits a Player Account or processes a withdrawal, in each case in error (an “ Error’). Examples of Errors include:

1. where NSG misstates any rule of play or Bonus Funds terms, in each case as a result of an obvious error or omission in inputting the information, or as a result of a computer malfunction;

2. a mistake, misprint, misinterpretation, mishearing, misreading, mistranslation, spelling mistake, technical hazard, registration error, transaction error, manifest error, force majeure and/or similar errors;

3. where NSG credits a Player Account, thereby increasing the amount of Funds, as a result of a manual or computer input error;

(2) You agree that we have the right to correct any Error in the manner that we deems appropriate and that neither we nor any of our employees or agents are responsible for any loss you as a result of that Error.

(3) In the event that NSG pays any money (i.e., by processing a withdrawal) to a Player as a result of or in relation to an Error, the Player shall be deemed to hold such money in trust for NSG, and NSG shall have the right to recover such money through a correcting entry to the extent that funds are available in the Player’s Player Account and, if sufficient funds are not available, through a demand for payment to that person which demand the person shall immediately satisfy, to the extent of any deficiency, in accordance with NSG’s reasonable instructions.

(4) If an Error results in a credit to a Player Account (the amount of such credit being Error Funds), any subsequent Game-related bet, wager or purchase may be deemed by NSG to have been made using the Error Funds, and (i) NSG may cancel such bet, wager or purchase, and (ii) if any prize in respect thereof has been credited to the Player Account or otherwise paid or delivered to the Player, the Player shall be deemed to be holding the full amount of such prize in trust for NSG, and (iii) upon NSG making a demand for the return of such prize, the Player shall immediately return the prize to NSG in accordance with NSG’s reasonable instructions.

ARTICLE 6 – DISPUTES, REMEDIES, LIABIITY

6.01 Disputes

No claim or dispute by a Player with regard to any bet, wager or purchase of a Game, including the outcome of such Game, will be considered by NSG more than 30 days following the date on which the Game is completed. NSG’s records will be the final authority in determining the circumstances of a Player’s participation in the relevant Game and the results of such participation. In the event of a disagreement between the result that appears on a Player’s screen and the relevant Game servers the result that appears in the Game servers will prevail.

A Player who wishes to make a complaint about NSG or any aspect of the Site may do so by contacting Customer Support. Customer Support will attempt to resolve any service or customer complaint in an expeditious manner.
 

6.02 A Player may also contact the AGCO (NSG’s regulator) or iGO (the conductor and manager of NSG’s online lottery schemes).

6.03 Breach and Remedies

If you fail to comply with, or breach, any of the Terms, we have the right to exercise any or all of the following remedies:
 

(1) suspend your Player Account until such time as you remedy breach to our satisfaction;

(2) deactivate your Player Account and ban you from using the Site;

(3) notify any third parties which NSG, in its sole discretion, determines to be appropriate in the circumstances, including law enforcement authorities and other third parties; or

(4) retain any or all of the funds in your Player Account to the extent necessary to compensate us for actual and/or potential losses and liabilities resulting from such breach.

6.04 Exclusions from Liability

Notwithstanding anything to the contrary contained in this Agreement, NSG shall not be liable for any loss or damage suffered by any person as a result of:
 

(1) the operation or failure to operate of the Site;

(2) the participation by any person in, or any failure, negligence or wrongdoing by NSG or any of NSG’s Service Providers in respect of, any responsible gambling program operated by NSG or any of NSG’s Service Providers including: (i) the self-exclusion program or player breaks; (ii) deposit limits; (iii) financial limits and budgets; (iv) playing time reminders; (v) self-assessment tools or risk profiles;

(3) the failure of NSG or any of NSG’s Service Providers to: (i) process or record a purchase; (ii) process, receive or record a payment for a chance or game; (iii) display an accurate purchase confirmation in such person’s player account; or (iv) otherwise complete a transaction (including, without limitation, a future game transaction); or

(4) any wager erroneously or unintentionally made by a Player.

ARTICLE 7 – GENERAL

7.01 Governing Law

Our agreement with you concerning the use of the Site is governed by the laws of the province of Ontario and the laws of Canada applicable therein. Each provision of this Agreement shall be valid and enforceable to the fullest extent permitted by law. If any provision of this Agreement is declared invalid, unenforceable, or illegal by a court of competent jurisdiction, such provision may be severed and such invalidity, unenforceability or illegality shall not prejudice or affect the validity, enforceability and legality of the remaining provisions this Agreement.
 

7.02 Contacts

An individual or a Player may contact NSG’s Customer Support at any time as follows:

1. by using real-time chat, available through the Site;

2. by e-mail [email protected]. If the e-mail address from which NSG receives a message does not correspond to the e-mail address that is included in the Player contact information that is associated with your Player Account, NSG will not provide any information relating to your Player Account when responding to your e-mail. In such circumstances, you may be requested or required to contact NSG by using real-time chat or by telephone; or

3. by telephone, 1 855 218 7827

NSG, or anyone acting on behalf of NSG, shall be entitled to contact a Player with respect to any matter contemplated in this Agreement by using any of the Player contact information (including by way of email or telephone). NSG’s other communications with a Player or an individual will be subject to the terms and conditions of the NSG Privacy Policy .
